These terms and conditions govern your subscription to and use of Freightnaut's services. If you register for a free trial of Freightnaut's services, these terms apply to that trial as well. By accessing or using Freightnaut's services, you accept these terms. If you are accepting these terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree with these terms, you must not use our services.
Definitions
"Services" refers to the online, web-based applications and platforms provided by Freightnaut, including associated offline components but excluding third-party applications.
"Data" means any data and content uploaded, posted, transmitted, or otherwise made available by you, your agents, and end-users via the Services. -
"Confidential Information" includes all non-public information disclosed by either party that should reasonably be considered confidential, including business plans, technology and technical information, product plans, and designs.
"Subscription Fees" are the fees associated with your subscription to the Services, excluding any third-party fees which may arise.
Use of the Services
You are responsible for all activities that occur under your user accounts. You must:
Provide accurate, current, and complete information as prompted by the registration form and maintain the security of your password and identification.
Notify Freightnaut immediately of any unauthorized use of an account or other breaches of security.
Comply with all applicable local, state, national, and foreign laws in using the Services.
Payment Terms
Subscription Fees are based on the services purchased and not actual usage. Payment obligations are non-cancelable, and fees paid are non-refundable. You are responsible for paying for all user licenses ordered for the entire license term, whether or not such user licenses are actively used.
Intellectual Property Rights
Freightnaut alone shall own all right, title, and interest in and to the Services and all associated intellectual property rights. No rights are granted to you other than as expressly set forth herein.
Confidentiality
Each party agrees to keep confidential all Confidential Information disclosed by the other party, not to use it for any purpose outside the scope of this agreement, and to protect it from unauthorised use and disclosure.
Term and Termination
These terms are effective upon the date you first access or use the Services and continue until terminated. You may terminate your subscription at any time, with notice to Freightnaut, but you will not receive a refund for any portion of your fees paid to Freightnaut. Freightnaut may terminate these terms or limit your use of the Services if you fail to comply with these terms.
General Provisions
These terms constitute the entire agreement between you and Freightnaut regarding your use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. No modification, amendment, or waiver of any provision of these terms will be effective unless in writing and signed by the party against whom the modification, amendment, or waiver is to be asserted.
